AGENT OF THE SELLER: Paul McInnis LLC is acting solely as Agent of the Seller.

AUCTION VENUE: The properties will be presented by way of a Live Webcast Auction. There will be a live in-person auction to take place in Milan, NH on July 19th and participation is available for online bidders who cannot attend in person. Online bids can be placed before or during the live auction event.

INFORMATIONAL PRESENTATION: Paul McInnis, LLC auction staff will be available to provide more information about the auction, directions to the properties, and answer prospective bidder questions on July 11th, 12th, and 18th at the Inn at Oxbow Acres at 877 Milan Road, between the hours of 11:00 a.m. and 2:00 p.m. Prospective bidders may also register and submit their deposit at this time.

LIVE AUCTION DATE AND LOCATION: At 12:00 Noon on July 19th, 2025, the Auction will take place at the Inn at Oxbow Acres located at 877 Milan Rd., Milan, NH 03588. Registration is from 11:00 a.m. until 11:45 a.m. Online Bidders should be logged in on their account at auction.paulmcinnis.com/auction prior to 12:00 noon. It is important to follow the instructions of the auctioneer to follow along during the auction. The online bidding screen will change from pre- bidding to the live bidding view at 12:00 noon. You may need to refresh your screen at this time.

SEQUENCE OF AUCTION: The individual properties to be offered at this auction are numbered 1-21 and sequenced by the town in which they are located. The Live Auction will start with accepting bids on each property located in the town of Gorham and post the current high bid for each property in that town and then conduct a second round of bidding for the same sequence and then announce the bidding closed before moving on to the next town. The same procedure will occur for Berlin, Milan and then Dummer. For lots 18-21 in Wentworth Location, NH and Magalloway, ME, each property will be offered individually and in varied combinations. Bids will be posted for individual lots 18, 19, 20 & 21, then bids for combinations 18 & 19, as well as 20 & 21, and a combination of 18, 19, 20 & 21. All bids will remain open subject to further rounds of bids as declared by the Auctioneer until such time as the Auctioneer declares the property or combination of properties sold or closed.

LIVE AUCTION BIDDER REGISTRATION: The Bidder Registration Form must be completed and signed by the bidder and presented to the Auctioneer with the required deposit and driver’s license. The Bidder Registration Form can be found on the last page of the property information package or click here. Alternatively, you can email it to the office of the Auctioneer at admin@paulmicnnis.com prior to 3:00 p.m. on Friday July 18th.

ONLINE BIDDER REGISTRATION: If you are unable to attend the Live Auction, you may place bids online prior to or during the Live Auction. Pre-bids may be placed beginning on July 11th. Pre-bidding will close on the morning of the Live Auction on July 19th at 11:00. In order to bid online, any prospective bidder must first request and review a property information package.

The next step is to create an online bidding account at auction.paulmcinnis.com/auctions. Finally, submit your executed Bidder Registration Form with the required Bidder Deposit to the Auctioneer. The Bidder Registration Form can be found on the last page of the property information package. It can be hand delivered to the office of the Auctioneer at 1 Juniper Road, North Hampton, NH 03862 or at the Inn at Oxbow Acres at 877 Milan Road, between the hours of 11:00 a.m. and 2:00 p.m. It can be emailed to admin@paulmcinnis.com or sent electronically through Dotloop. To use Dotloop, send your request to admin@paulmcinnis.com.

BIDDER DEPOSIT: At the time of registration, you will be required to deliver your refundable Bidder Deposit of $5,000 per property you plan to purchase either by physical check or E-check. The deposit required to bid on lot 21 Umbagog Lake Parcel is $25,000. By registering to bid, you understand and agree that if you are not the successful bidder, this deposit will be returned to you. If you are the successful bidder and you fail to comply with the terms of the auction, specifically signing the Real Estate Purchase & Sale Agreement and delivering the required earnest money deposit, you hereby authorize the Auction Company to retain your Bidder Deposit as a NON- REFUNDABLE, NON-COMPLIANCE FEE.

To deliver your Bidder Deposit by E-check you will do so through EARNNEST. EARNNEST is a digital payment platform, and a link can be found either on the Auctioneer’s website or by request of the auctioneer at admin@paulmcinnis.com. Once your Bidder Registration Form and Bidder Deposit have been received, your online bidding account has been created, and Paul McInnis LLC has determined that you have met all the requirements, a bidding number will be provided to you.

Please note that Paul McInnis LLC will make our best effort to respond to your request within three hours during normal business hours of Monday through Friday from 8:30 a.m. to 12:00 Noon EST. The Bidder Registration Form and Bidder Deposit should be received by the Auctioneer no later than 24 hours prior to the start of live bidding. The Auctioneer in his sole and absolute discretion reserves the right to decline a bidder if all requirements have not been met prior to the 24-hour deadline.

RETURN OF BIDDER DEPOSIT: Unsuccessful bidder deposits will be returned to the bidders at the conclusion of the Live Auction. For Online Bidders they will be returned by U.S. Mail or through EARNNEST.

BUYER’S PREMIUM: A 10% (Ten Percent) Buyer’s Premium will be added to the successful Bid Price to become the Total Purchase Price. Example: $Bid Price + 10% of $Bid Price = $Total Purchase Price due from the Buyer at Closing, less any Earnest Money Deposit.

SUCCESSFUL BIDDER: The successful bidder is defined as that registered bidder who placed the highest bid as declared by the Auctioneer and the highest bid being acceptable to the Seller. The successful bidder will be notified via email, as well as by telephone confirmation by the Auctioneer.

REAL ESTATE PURCHASE & SALE AGREEMENT: For this Auction there are three versions. Please note the corresponding property numbers at the top of the agreement. A copy of the agreements and Exhibit A Legal Descriptions are included in the property information package.

PLEASE REVIEW them carefully or have your attorney review it. At the Live Auction: The successful bidder is required to sign the real estate Purchase & Sale Agreement together with the Exhibit A, without any changes or additional terms and deliver 10% of the total purchase price as the earnest money deposit at the conclusion of the Live Auction on Saturday July 19th. Successful Online Bidders are required to sign, electronically, via DOTLOOP, the real estate Purchase & Sale Agreement together with the Exhibit A, without any changes or additional terms at the conclusion of the Live Auction on Saturday July 19th and deliver 10% of the total purchase price as the earnest money deposit, by E-check, no later than Saturday, July 19th. Only the Buyer’s Name, specific property information, Bid Price, 10% Buyer’s Premium, Total Purchase Price, Earnest Money Deposit, and the Balance Due Amount will be entered into the real estate Purchase & Sale Agreement.

EARNEST MONEY DEPOSIT: At the Live Auction the Successful Bidder will be required to tender an EARNEST MONEY DEPOSIT equal to Ten Percent (10%) of the Total Purchase Price by check payable to Paul McInnis LLC Escrow Account in U.S. funds. Successful Online Bidders will be required to submit their EARNEST MONEY DEPOSIT no later than Saturday July 19th by E-check through EARNNEST. Should the successful bidder fail to execute the Purchase and Sale Agreement and tender the EARNEST MONEY DEPOSIT, the Bidder agrees to forfeit the Registration Deposit which shall become a NON-REFUNDABLE, NON-COMPLIANCE FEE. Online bidders must submit their EARNEST MONEY DEPOSIT thru Earnnest no later than Saturday, July 19th by 3:00 p.m.

CLOSING: The balance of the total purchase price is due on or before September 2nd, 2025, in US Funds payable by wire transfer, cashier’s check or certified check.

SUCCESSFUL BIDDER DEFAULT: Should a successful bidder fail to execute the real estate Purchase & Sale Agreement and deliver the earnest money deposit in a timely manner as outlined in these general terms & conditions, said bidder will be deemed to be in default and said bidder’s registration deposit will be forfeited and become NON-REFUNDABLE.

DUE DILIGENCE: It is the bidder’s responsibility to undertake their own due diligence and inspection of the property prior to placing any bids. 21 Parcel Land Auction NH & ME 25PM-12 GENERAL TERMS & CONDITIONS AGENT OF THE SELLER: Paul McInnis LLC is acting solely as Agent of the Seller. AUCTION VENUE: The properties will be presented by way of a Live Webcast Auction. There will be a live in-person auction to take place in Milan, NH on July 19th and participation is available for online bidders who cannot attend in person. Online bids can be placed before or during the live auction event. INFORMATIONAL PRESENTATION: Paul McInnis, LLC auction staff will be available to provide more information about the auction, directions to the properties, and answer prospective bidder questions on July 11th, 12th, and 18th at the Inn at Oxbow Acres at 877 Milan Road, between the hours of 11:00 a.m. and 2:00 p.m. Prospective bidders may also register and submit their deposit at this time. LIVE AUCTION DATE AND LOCATION: At 12:00 Noon on July 19th, 2025, the Auction will take place at the Inn at Oxbow Acres located at 877 Milan Rd., Milan, NH 03588. Registration is from 11:00 a.m. until 11:45 a.m. Online Bidders should be logged in on their account at auction.paulmcinnis.com/auction prior to 12:00 noon. It is important to follow the instructions of the auctioneer to follow along during the auction. The online bidding screen will change from pre- bidding to the live bidding view at 12:00 noon. You may need to refresh your screen at this time. SEQUENCE OF AUCTION: The individual properties to be offered at this auction are numbered 1-21 and sequenced by the town in which they are located. The Live Auction will start with accepting bids on each property located in the town of Gorham and post the current high bid for each property in that town and then conduct a second round of bidding for the same sequence and then announce the bidding closed before moving on to the next town. The same procedure will occur for Berlin, Milan and then Dummer. For lots 18-21 in Wentworth Location, NH and Magalloway, ME, each property will be offered individually and in varied combinations. Bids will be posted for individual lots 18, 19, 20 & 21, then bids for combinations 18 & 19, as well as 20 & 21, and a combination of 18, 19, 20 & 21. All bids will remain open subject to further rounds of bids as declared by the Auctioneer until such time as the Auctioneer declares the property or combination of properties sold or closed. LIVE AUCTION BIDDER REGISTRATION: The Bidder Registration Form must be completed and signed by the bidder and presented to the Auctioneer with the required deposit and driver’s license. The Bidder Registration Form can be found on the last page of the property information package or click here. ONLINE BIDDER REGISTRATION: If you are unable to attend the Live Auction, you may place bids online prior to or during the Live Auction. Pre-bids may be placed beginning on July 11th. Pre-bidding will close on the morning of the Live Auction on July 19th at 11:00. In order to bid online, any prospective bidder must first request and review a property information package. BIDDER DEPOSIT: At the time of registration, you will be required to deliver your refundable Bidder Deposit of $5,000 per property you plan to purchase either by physical check or E-check. The deposit required to bid on lot 21 Umbagog Lake Parcel is $25,000. By registering to bid, you understand and agree that if you are not the successful bidder, this deposit will be returned to you. If you are the successful bidder and you fail to comply with the terms of the auction, specifically signing the Real Estate Purchase & Sale Agreement and delivering the required earnest money deposit, you hereby authorize the Auction Company to retain your Bidder Deposit as a NON- REFUNDABLE, NON-COMPLIANCE FEE. To deliver your Bidder Deposit by E-check you will do so through EARNNEST. EARNNEST is a digital payment platform, and a link can be found either on the Auctioneer’s website or by request of the auctioneer at admin@paulmcinnis.com. Once your Bidder Registration Form and Bidder Deposit have been received, your online bidding account has been created, and Paul McInnis LLC has determined that you have met all the requirements, a bidding number will be provided to you. The Bidder Registration Form and Bidder Deposit should be received by the Auctioneer no later than 24 hours prior to the start of live bidding. RETURN OF BIDDER DEPOSIT: Unsuccessful bidder deposits will be returned to the bidders at the conclusion of the Live Auction. For Online Bidders they will be returned by U.S. Mail or through EARNNEST. BUYER’S PREMIUM: A 10% (Ten Percent) Buyer’s Premium will be added to the successful Bid Price to become the Total Purchase Price. Successful Online Bidders are required to sign, electronically, via DOTLOOP, the real estate Purchase & Sale Agreement together with the Exhibit A, without any changes or additional terms at the conclusion of the Live Auction on Saturday July 19th and deliver 10% of the total purchase price as the earnest money deposit, by E-check, no later than Saturday, July 19th. Only the Buyer’s Name, specific property information, Bid Price, 10% Buyer’s Premium, Total Purchase Price, Earnest Money Deposit, and the Balance Due Amount will be entered into the real estate Purchase & Sale Agreement. EARNEST MONEY DEPOSIT: At the Live Auction the Successful Bidder will be required to tender an EARNEST MONEY DEPOSIT equal to Ten Percent (10%) of the Total Purchase Price by check payable to Paul McInnis LLC Escrow Account in U.S. funds.
