OFFICIAL AUCTION TERMS & CONDITIONS
ATTENTION BIDDERS: By registering and bidding, you acknowledge that you have read, understand, and agree to be legally bound by the following terms. Do not bid unless you agree to all terms. 1. Registration & Eligibility · Requirements: All registration information must be current, complete, and accurate. Bidders must be 18 years of age or older. · Right of Refusal: Sherwood Auction Service, LLC (the "Auctioneer") reserves the right to deny registration or bidding privileges to any person or entity at its sole discretion. 2. Nature of Sale and "As-Is, Where-Is" Disclaimer · Pursuant to its rights under Sections 25-7-209 and 25-7-210 of the North Carolina General Statutes and all related provisions, Impact Warehouse, LLC ("Seller"), as lienholder under a warehouse lien on goods covered by a warehouse receipt or storage agreement, is selling by public auction the personal property described Sweetspot to collect the unpaid commercial indebtedness owed to Seller pursuant to that certain Fulfillment Services Master Supply Agreement dated August 29, 2020 (also referred to therein as a "Warehouse Management Agreement") and all related amendments, including the Second Amendment to the Warehouse Management Agreement dated September 1, 2022, all executed by Wallbox USA Inc., a Delaware corporation. The property to be sold is held on account of Wallbox USA Inc. · No Warranties: All lots are sold "AS-IS, WHERE-IS, AND WITH ALL FAULTS AND ERRORS," and WITH NO REPRESENTATIONS OR WARRANTIES OF ANY TYPE, INCLUDING, WITHOUT LIMITATION, WARRANTIES AS TO TITLE, CONDITION, POSSESSION, QUIET ENJOYMENT, MERCHANTABILITY, DESCRIPTION, OR FITNESS FOR A PARTICULAR PURPOSE. Without limiting the foregoing in any way, neither the Seller nor the Auctioneer, or both, nor the officers, members, attorneys, employees, agents or authorized representatives of either the Seller or the Auctioneer make any representation or warranty relating to the health or safety conditions relating to the property being offered for sale, and any and all responsibilities or liabilities arising out of or in any way relating to any such condition expressly are disclaimed. The Seller will sell, grant, convey, transfer, and deliver unto the successful purchaser all right, title, and interest in and to the property which the Seller has a right to sell as a warehouse having a lien under Section 25-7-209 of the North Carolina General Statutes, but no further or otherwise. The property sold at the sale will be sold subject to prior or superior liens, taxes, and special assessments, if any. · Descriptions: Descriptions are provided in good faith as matters of opinion. All lists and descriptions of the property being sold represent a good faith effort made by the Seller and Auctioneer to provide a general description of the property but are not representations or warranties and potential purchasers should not rely upon them in determining whether or not to purchase any item. The property being sold is not returnable for any reason. 3. Conduct of Auction · Auctioneer Authority: The Auctioneer has full discretion over bidding increments and the right to reject any bid. We reserve the right to cancel the auction before the closing of the sale or remove any lot at any time. · Right of Redemption: Any person claiming a right in the property to be sold can redeem the property at any time before the auction is final by paying to the Seller the full amount necessary to satisfy the lien and the reasonable expenses incurred by Seller in connection with the enforcement of the lien. Email: njl@wardandsmith.com. · Postponement or Cancellation of Public Sale: The Seller reserves the right to continue, postpone, adjourn, or delay the sale of all or part of the property to another day, time, and place certain without further publication, upon announcement at the time and place for the sale set forth above. The Seller also reserves the right to cancel the sale. · Agency Disclosure: We act strictly as Agents for the Seller. Seller or their agents reserve the right to bid on their own behalf to protect their investment. Notwithstanding any requirement herein that the sale be for cash, Seller or their agents may credit its bid against all or a portion of Seller's lien amount and become the purchaser of the property. · Max Bidding: Our system will bid on your behalf up to your maximum amount. Placing a "Max Bid" is a legal contract to pay up to that amount if challenged by other bidders. 4. Buyer’s Premium & Sales Tax · Standard Premium: A 13% Buyer’s Premium applies to all items. · Cash/Check Discount: A 3% discount on the Buyer's Premium is available for bidders who pay via cash or check (reducing the premium to 10%). · Sales Tax: A 6% Michigan Sales Tax [2] applies. o Exemptions: Coins/Currency, Out of State Items are exempt. Bidders claiming Farm or Resale exemptions must have a signed form on file before the auction closes. 5. Payment Terms · Deadlines: All purchases must be paid in full during the scheduled removal dates. · Accepted Forms: Cash, Check, Money Order, or Credit Card. · Credit Card Limit: We WILL NOT accept credit card payments over $1,000.00 unless pre-approved. Amounts over $1,000 must be paid via Cash, Money Order, or Cashier's Check. · Default Payment: Any items not paid for by the end of the scheduled pick-up window will have the registered credit card charged automatically. 6. Bidding Extensions (Soft Close) · Auto-Extend: If a bid is placed within the final two (2) minutes of a lot’s closing, the clock for that lot will automatically extend for an additional two (2) minutes. This continues until all bidding activity for that lot has ceased. 7. Item Pick-Up & Removal · Removal: The property being offered for sale is located at Seller's premises at 1559 Faucette Rd, Burlington, North Carolina 27215. Buyers are solely responsible for the rigging, loading, and removal of all items. Buyers bear all risk and responsibility for the property purchased. The Seller and Sherwood Auction Service LLC shall not be liable for any loss or damage that occurs to the property after the sale. Buyers will be solely responsible for removal of the property from Seller's premises and for coordinating with Seller for access to the property. Buyers must remove all property purchased immediately upon closing and shall be liable for any damage caused to the Seller's premises due to the removal of the property. · Default Pickup: Items not paid for by end of the scheduled pick up time following the auction will be charged to the credit card on file. · Storage Fees: A storage fee of $3.00 per calendar day applies to any item not picked up within the first week. · Forfeiture: Items left after 14 business days will be forfeited back to Seller with no refund. We reserve the right to resell abandoned property. · Shipping: Neither Sherwood Auction Service nor Seller offers any shipping services. 8. Technical Issues & Liability · Technology: We are not responsible for missed bids due to internet failure, software glitches, or server issues. The Auctioneer reserves the right to extend or reopen bidding in the event of technical difficulties. · Indemnification: Bidders agree to indemnify and hold harmless the Seller and Auctioneer from any claims, damages, or legal fees arising from the auction process or item removal.
